Terms of Service

1. Provider

2. Scope of services

I provide founder advisory services including pitch deck review, fundraising preparation, investor targeting, and VC research support. Each engagement is scoped in writing before work begins. Services are delivered remotely.

3. Engagement and fees

Engagements are agreed by written confirmation (email or document). Fees are fixed and stated in the engagement confirmation. No retainers or hourly billing. No equity compensation. Payment is due within 14 days of invoicing unless otherwise agreed. Late payments accrue interest at the statutory rate under §288 BGB.

4. Kleinunternehmer status

I operate as a Kleinunternehmer under §19 UStG. Invoices do not show VAT.

5. No guarantee of outcome

Advisory services improve the quality of fundraising materials and process; they do not guarantee any funding outcome, investor interest, or valuation. I make no representation about the likelihood of raising capital.

6. Confidentiality

I treat all materials shared during an engagement as confidential. A mutual NDA is available on request and is standard before sharing sensitive materials. Obligations survive termination of the engagement.

7. Limitation of liability

Liability is limited to the fee paid for the relevant engagement. I am not liable for indirect, consequential, or speculative loss. This limitation does not apply to intentional misconduct or gross negligence.

8. Intellectual property

Deliverables produced during an engagement become your property upon full payment. I retain the right to reference the nature of the engagement (not its content) for professional purposes unless you request otherwise.

9. Governing law

These terms are governed by German law. Place of jurisdiction is Berlin, Germany, to the extent permitted by law.
